Terms of Service

1. Who we are and what these terms cover

These Terms of Service (“Terms”) govern your use of WeBuyAPI (the “Service”), operated by WeBuyAPI (“we”, “us”). By submitting a listing, submitting a buyer inquiry, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Nature of the Service, introductions only

The Service consists solely of: (a) collecting details about unused AI and cloud platform credits from prospective sellers; (b) collecting purchasing requirements from prospective buyers; (c) reviewing those submissions manually; and (d) where we identify a potential match, introducing the two parties to each other.

Specifically, and without limitation, we do not:

• operate a checkout, cart, order book, listing wall or automated matching engine;
• take custody, possession or control of any credits, codes, accounts or funds;
• act as an escrow agent, payment processor, agent, fiduciary or broker for either party;
• set, endorse or guarantee any price;
• verify the solvency, identity or good faith of any counterparty beyond the limited manual review described below; or
• become a party to, or guarantor of, any agreement between a buyer and a seller.

Any agreement to buy or sell credits is formed exclusively between the buyer and the seller. We are not responsible for performance, non-performance, or any dispute arising from it.

3. No guarantee of transferability

Credits issued by AI and cloud platforms, including but not limited to OpenAI, Anthropic, Amazon Web Services, Microsoft Azure and Google Cloud, are typically governed by promotional credit terms or customer agreements that restrict or prohibit transfer, assignment, sale, barter or exchange of those credits.

You acknowledge and agree that:

• we make no representation or warranty whatsoever that any credit is transferable, saleable, redeemable or of any particular value;
• it is your sole responsibility to review your own agreement with the relevant platform and determine what it permits before offering to sell or agreeing to buy;
• a platform may at any time and without notice void, suspend, claw back or refuse to honour credits, terminate an account, or take other action it considers appropriate under its terms;
• any comment we make about transferability is an informal opinion offered in good faith and is not legal advice and not a warranty of any kind.

If you are unsure whether a transaction is permitted, seek advice from the platform concerned and from your own legal counsel before proceeding.

4. Manual review, scope and limits

We review each submission by hand. That review is limited to a good-faith, reasonable assessment of the information and documents you supply: typically the platform, the stated balance, the expiry date and any proof you upload. It is not an audit, authentication, appraisal or due-diligence exercise, and it does not verify title, legal ownership or the accuracy of anything you tell us.

We may accept, reject, edit, deprioritise or remove any submission at our sole discretion, including where we believe a transaction would breach a platform's terms or applicable law. Rejection is not a judgement about you, and acceptance is not an endorsement.

5. Your obligations

By using the Service, you represent and warrant that:

• you are at least 18 years old and have authority to enter these Terms, including on behalf of any entity you represent;
• all information you submit is accurate, current and complete, and you will correct it promptly if it changes;
• you own or are authorised to offer any credits you list, and doing so does not breach any agreement you are bound by;
• you will not use the Service to defraud, launder funds, evade sanctions, or facilitate any unlawful act;
• you will not submit another person's data without their permission, or upload malware, or attempt to disrupt or gain unauthorised access to the Service.

You are responsible for conducting your own due diligence on any counterparty we introduce you to, and for agreeing your own written terms with them, including what happens if a transfer fails or credits are voided.

6. Fees

Submitting a listing and submitting a buyer inquiry are free. Where an introduction leads to a completed transaction, a success fee may apply. Any such fee will be agreed in writing with the relevant party in advance. We will never charge you a fee you have not expressly agreed to.

7. Communications and consent to introduction

By submitting a listing or inquiry, you agree that we may contact you by email, phone or messaging applications (including WhatsApp) about your submission. We share your contact details with a prospective counterparty only after you have confirmed you want that introduction. You may withdraw from an introduction at any time before it is made.

8. Intellectual property and third-party names

The Service, including its content, design and code, belongs to us or our licensors. All third-party platform names, logos and trademarks mentioned on this site are the property of their respective owners and are used solely for identification. WeBuyAPI is independent and is not affiliated with, endorsed by, sponsored by or in any partnership with OpenAI, Anthropic, Amazon Web Services, Microsoft, Google or any other platform named on this site.

9. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that any listing will attract a buyer, that any inquiry will be matched with a seller, or that any introduction will result in a transaction.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Service or any introduction made through it, including losses arising from credits that turn out to be non-transferable, voided, expired, misrepresented or worthless, or from a counterparty's conduct, insolvency or non-performance.

To the extent any liability cannot be excluded, our aggregate liability to you is limited to the greater of (a) the total fees you have actually paid us in the twelve months before the event giving rise to the claim, or (b) USD 100. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

11. Indemnity

You agree to indemnify and hold us harmless from any claim, demand, loss or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your breach of any platform's terms of service, or any transaction or dispute between you and a counterparty.

12. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, including where we suspect fraud, misrepresentation, or breach of these Terms or of a platform's terms. You may stop using the Service at any time and ask us to delete your data as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. The “last updated” date above will change when we do. Material changes will be posted here before they take effect; continuing to use the Service after that constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which WeBuyAPI is established, without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction over any dispute. Nothing here affects mandatory consumer protections available to you where you live.
